Terms & Conditions
Please note: These T&Cs are designed to cover a variety of graphic design work. Not all points will be relevant to every project.
I = Lee Simmons Design Limited,
You = The Customer
What do both parties agree to?
As my customer, you have the power and ability to enter into this contract on behalf of your organisation. You agree to provide me with everything that I need in order to complete the project including (where relevant) text, images and other information as and when needed, and in the required format. You agree to review my work, provide feedback and sign-off approval in a timely manner.
I have the experience and ability to perform the services you need from me and I will carry them out in a professional and timely manner. Along the way I will endeavour to meet all the deadlines set but I can’t be responsible for a missed launch date or a deadline if you have been late in supplying materials or have not approved or signed-off our work on-time at any stage.
I will maintain the confidentiality of any information that you give me. I agree that I will be the sole author of the work, which will be original work and free of plagiarism.
Supplying text and image content
The customer is responsible (where relevant) for writing copy and supplying it in ‘Word’ document format, or another digital format that can be copied/pasted from.
The customer is (where relevant) responsible for supplying all imagery.
Feedback
In order to maintain flow, the customer is responsible for providing feedback within 7 calendar days of receiving the design development documents. If this is not possible, the customer is to advise Lee Simmons Design Limited of the date by which the feedback will be delivered - to allow for re-scheduling.
Approvals / Proofreading
The customer is responsible for proof-reading & approving all content before a website is launched or printed/digital components are produced.
Hours of Business
Lee Simmons Design Limited working hours are from 9am to 5:30pm, Monday through Friday. When necessary and pre-agreed with the customer, I may work outside these hours.
Copyrights
The customer agrees that any elements of text, graphics, photos, designs, trademarks, or other artwork that you provide me for inclusion in a website/digital/printed components are either owned by you, or that you have permission to use them.
Ownership of files
As owner of the final logo, the customer has the exclusive right to copy it, publish it, display it, distribute it, or make new works from it for an unlimited amount of time.
Lee Simmons Design Limited retains ownership of all preliminary design concepts (for both print and digital designs) that have not been chosen for development.
Non-Exclusivity
Lee Simmons Design Limited is retained on a non-exclusive basis - unless otherwise agreed - and can, therefore, design for other parties.
Payment Schedule
The customer agrees to pay Lee Simmons Design Limited the costs as laid out in the payment schedule. (This will be sent to the customer via email.)
All work will require an upfront payment. Further invoices are to be paid within 7 days of invoice date. (VAT not applicable).
Changes and revisions
Design Packages / Bespoke projects: Each design package / bespoke project includes a specific quantity of changes and revisions. (Please refer to the package or quote you have chosen for more information.) If you request extra design edits during the project, I will request approval from the customer before extra time is spent/charged.
Customer Cancellation
Should you choose to cancel the project, you will be invoiced for the stages completed. Time spent on incomplete stages will be reviewed and charged at an hourly rate of £60.
Cancellation steps:
To cancel the contract, you need to inform me by email, giving seven working days notice.
I will send you the final invoice.
Once the invoice has been paid,
What happens to the work done to that point? Do they get what have been paid for thus far? Do they get nothing?
Project Dormancy
A project is considered ‘dormant’ when I have not received practical feedback from you, that enables me to continue working on the project, for fourteen calendar days.
Once fourteen days have passed, I will contact you via email, advising you that the project is now considered dormant. The email will include a final invoice for uncompleted work stages. Time spent on incomplete stages will be reviewed and charged at an hourly rate of £60.
In order to restart a project once it has been deemed dormant, you will need to contact me via email in order to schedule a meeting to discuss how to move forward. There will not be a re-engagement fee. However, the original quote may need to be revised before re-commencing the project.
Portfolio usage
After the launch, at a date approved by the customer (and not until this date), I will be given the opportunity to show this project in my portfolio (online & in print) for an unlimited amount of time. Where content is sensitive and must not be made public, please advise before work commences.
What I am not responsible for
I use Squarespace as a web platform. From time to time, web platforms experience technical issues which Lee Simmons Design Limited does not take responsibility for.
From time to time, especially for projects culminating in printed elements, I may recommend suppliers and contractors. Any contracts with third party suppliers and contractors will between yourself and them.
Confidentiality
Lee Simmons Design Limited agrees to protect the confidentiality of the customer’s proprietary information and all physical forms thereof, whether disclosed to Lee Simmons Design Limited before this Agreement is signed or afterward.
Acceptance of Terms
The customer promises to pay for the services rendered by Lee Simmons Design Limited for the Work as agreed upon. By ticking the box below, the customer agrees they have read, understood, and are considered legally bonded to these terms.
